Terms of service
Draft for counsel review: this text has not yet been reviewed by Mydas's attorney and may change.
Who these terms are for
Mydas is a finance automation service that Mydas LLC (Washington, USA) provides to promotional-products distributors that run their business on Syncore. These terms apply to each client company that accepts them and to every person that company invites into its Mydas workspace. The service is not offered to the public or to consumers.
A client accepts these terms when a person with authority to bind the company ticks the acceptance box on the client's intake form or signs the service agreement. The service agreement names the client, its plan, its fees and its start date; where it and these terms differ, the service agreement governs.
The service
Mydas reads a client's purchase orders, jobs, suppliers and sales orders from Syncore, reads vendor invoices and statements from the mailboxes the client connects, mirrors the client's QuickBooks Online books and bank balances where those modules are in the plan, and presents the result as queues, reports and drafts for the client's own people to act on. The four modules are accounts payable (with the pay run), the ledger, cash, and QuickBooks; the plan says which are on.
Mydas drafts; people decide. Nothing is approved, posted to Syncore, written to QuickBooks or paid until a person at the client approves it inside Mydas, and every such action is attributed to that person. Mydas never changes or deletes records that already exist in Syncore or QuickBooks on its own initiative.
Syncore, QuickBooks Online and the bank connection are each governed by their own provider's terms. Those providers are not parties to these terms and are not responsible for Mydas.
The client's responsibilities
The client confirms that it is entitled to connect the Syncore account, mailboxes, QuickBooks company and bank accounts it connects, and that the people it invites may see the data those connections carry. The client keeps its credentials private, invites only people who need access, removes people who leave, and tells Mydas LLC promptly of any unauthorized use.
The client's own records stay the client's responsibility. Mydas works from what Syncore, the mailboxes, QuickBooks and the bank report; the client confirms material figures in those systems before acting on them.
Fees and the plan
Fees, the plan (self-managed, assisted or fully managed), the modules and the billing cycle are set out in the client's service agreement. Fees are invoiced as that agreement says and are due on receipt unless it says otherwise. Mydas LLC may change the fees for a renewal term with at least sixty days' written notice.
Aggregated vendor data
Mydas keeps a pooled record of how suppliers behave across its clients: for example, how long a supplier typically takes to ship, how often its invoices arrive before delivery, and how often its invoices disagree with the purchase order. Only numeric facts enter this pool, keyed by the supplier's name, and a fact is shown only where at least three clients have contributed to it. No prices, amounts, documents, purchase order or job numbers, people's names, email addresses or client identities ever enter the pool, and nothing in it identifies the client or its customers.
A client may opt out at any time by writing to support@mydas.io. From that point the client contributes nothing to the pool and sees none of the pooled figures. The opt-out takes effect within one business day and does not change anything else about the service.
Automated drafting
Mydas uses a large language model (Anthropic's Claude, through Anthropic's API) to read vendor invoices and statements, to draft month-end entries, and to answer questions about a client's own records. Data sent to the model is used only to produce that client's drafts, is not used to train models, and is never shared with another client. Each client's use of the model is logged and capped.
Confidentiality
Each party keeps the other's confidential information confidential and uses it only to provide or receive the service. The client's data is the client's confidential information. Mydas LLC staff may open a client's workspace to support it; every such session is recorded and limited in time. Neither party is bound as to information that is public, already known to it, or independently developed.
Term and termination
The service runs for the term in the service agreement and renews as that agreement says. Either party may end it for a material breach the other does not cure within thirty days of written notice. When the service ends, Mydas LLC stops reading the client's connections, revokes the tokens it holds, returns the client's data on request within thirty days, and deletes it afterward, except for the pooled vendor facts described above, which carry nothing that identifies the client.
Warranty and liability
Mydas LLC provides the service with reasonable skill and care. Except as the service agreement provides, the service is supplied as is, without any other warranty. Mydas LLC is not liable for decisions made on the basis of mirrored or drafted figures, and in no event is either party liable to the other for indirect or consequential loss. Each party's total liability under these terms is limited to the fees the client paid in the twelve months before the claim, except for a breach of confidentiality or a party's own willful misconduct.
Changes to these terms
Mydas LLC may update these terms. A new version carries a new version number and effective date, and the client is told by email at least thirty days before it applies, except for a change required by law. Continued use after the effective date is acceptance of the new version; a client that does not accept may end the service on written notice before then.
Governing law and contact
These terms are governed by the laws of the State of Washington, USA. Questions and notices: Mydas LLC, support@mydas.io.
